Pacific Ethanol buys Aventine for $190mn

Pacific Ethanol will purchase midcontinent ethanol producer Aventine Renewable Energy Holdings in a $190mn deal that more than doubles Pacific's production capacity and makes the company the fifth-largest US producer of the biofuel.

The deal will close in the first half of 2015, according to the company.

"It will complement our existing business as we balance assets across new regional markets, expand our footprint for the production and marketing of low-carbon renewable fuels, diversify our technology and increase our mix of co-products," Pacific chief executive Neil Koehler said.

Aventine operates 315mn USG/yr of ethanol production in Illinois and Nebraska. The company invested $30mn in the facilities since beginning a corporate turnaround in 2012.

Pacific Ethanol will operate 515mn USG/yr of production capacity and market more than 800mn USG/yr of ethanol following the merger. The company plans to operate Aventine as a wholly-owned subsidiary.

Pacific will issue 17.75mn shares of common stock to acquire all of Aventine issued and outstanding shares.
