Brookfield-EIG bid to buy Australia’s Origin Energy

Australian independent Origin Energy has received a joint takeover bid from Canada-based asset management firm Brookfield and US energy investment firm EIG offering A$9/share ($5.79/share), which values Origin at A$18.4bn. The bid will see Brookfield acquire Origin's domestic power and gas business and EIG take its LNG assets.

Origin is the upstream operator of the 9mn t/yr Australia Pacific LNG (APLNG) at Gladstone in Queensland and holds a 27.5pc stake. Any offer for Origin's stake will be subject to pre-emptive rights held by the other APLNG partners, ConocoPhillips that has 47.5pc and is the downstream operator and China's state-controlled Sinopec that has 25pc.

"It is the current intention of the Origin board to unanimously recommend that shareholders vote in favour of the proposal, in the absence of a superior proposal," Origin said. The bid values the equity in Origin at A$15.45bn with the remaining near A$3bn reflecting the debt it holds.

Brookfield's transition business plan for Origin includes the investment of an additional A$20bn in Origin to help fund its transition strategy and build renewable and firming capacity over the period to 2030, it said.

The takeover offer follows Origin reducing its upstream interests, including the sale of its stake in the onshore Beetaloo gas basin in the Northern Territory. The rest of its assets are electricity and gas wholesale and retail businesses in east Australia.

Brookfield previously made a joint bid with Australian billionaire Mike Cannon-Brookes for Australian utility and gas firm AGL Energy, which was unsuccessful. But it completed the A$10.2bn purchase of Australian power and gas infrastructure group AusNet Services.

Origin planned to sell a 10pc stake in APLNG to EIG in October 2021 for A$2.12bn. But this deal was ruined by ConocoPhilips that exercised its pre-emptive right over Origin's partial stake.
