Denmark's Orsted looks to raise $9.3bn in rights issue

Danish state-controlled utility Orsted plans to raise 60bn Danish kroner ($9.3bn) in a rights issue, after it discontinued a planned partial divestment of its under-construction 924MW offshore Sunrise Wind project in the US.

The planned partial divestment was cancelled "following the recent material adverse development in the US offshore wind market", Orsted said, a likely reference to the US' regulatory re-evaluation of rules underpinning approvals for offshore wind projects.

US president Donald Trump in January placed a moratorium on new offshore wind leasing, and the Interior Department in July rescinded all offshore wind lease areas.

This environment has made it "not possible" for Orsted to complete a divestment on the terms it requires to support its investment programme, the company said.

Existing shareholders will have "a pre-emptive right to subscribe for their respective pro rata share of the capital increase", in order to retain the same relative ownership, Orsted said. The Danish state, which holds 50.1pc, has undertaken to subscribe for its share, the company added.

Norwegian state-controlled Equinor holds a 10pc stake in Orsted. It bought into Orsted in December 2024, paying around $2.5bn at Dkr418/share. Orsted's shares are now lower by around 48pc, leaving Equinor with a much-reduced valuation for its stake.

Equinor has also experienced pushback from the US administration on its 816MW offshore Empire Wind project. Washington in May allowed Equinor to continue work on the already-permitted Empire Wind 1, after having ordered work to stop.

The proceeds from the rights issue will "strengthen Orsted's capital structure and provide financial flexibility to ensure an appropriate capitalisation" over 2025-27, Orsted said. In this time it will deliver an 8.1GW offshore wind construction portfolio, it said, and an investment programme worth around DKr145bn.

Orsted today reported profit of DKr8.2bn for the first half of the year, almost a ninefold increase on the year.
