Borealis receives Eurochem bid for fertilizer business

Austrian chemicals company Borealis has received a bid for its fertilizer business from Russia-based Eurochem, with the two companies expecting a deal to be completed in the second half of this year.

The €455mn ($513mn) offer from Eurochem is for Borealis' nitrogen unit, which includes its fertilizer, technical-nitrogen and melamine products.

Should the deal be completed, Eurochem will acquire three production facilities in France, one in Germany and another in Austria, as well as Borealis' full sales and distribution network.

But the bid does not extend to Borealis' majority shareholding in Belgium-based Rosier's production sites, the Austrian company confirmed to Argus today. Austrian integrated oil, gas and petrochemicals company OMV holds a 75pc stake in Borealis, with a holding company of Abu-Dhabi based Mubadala owning the remaining 25pc.

Borealis is a key supplier of straight-nitrogen fertilizers to various markets, including ammonium nitrate in France and calcium ammonium nitrate in Germany. It is also a significant supplier of complex fertilizers in Europe.

It operates around 60 warehouses across the continent, it said when announcing the beginning of the sales process for the fertilizer unit a year ago.

Eurochem is in the process of expanding its global production and distribution capacities. The firm plans to purchase a controlling stake in Brazilian fertilizer distributor Heringer, it was announced on 21 December. Competition authorities around three months earlier approved Eurochem's acquisition of a Brazilian phosphates mining project from Norwegian producer Yara.

Eurochem's latest purchase will significantly expand its production sites in Europe, adding assets to its Lifosa DAP/NPS facility in Lithuania, as well as its NPK and nitrates units in Belgium's Antwerp. The company also supplies fertilizers through its Russian assets at Belorechensk, Kingisepp, Novomoskovsky and Nevinnomysskiy.

It is a relatively new potash producer, operating the Usolskiy and Volgakaliy mines in Russia.

Borealis said it "will initiate mandatory information and consultation procedures with employee representatives shortly", regarding the potential sale to Eurochem, adding that the transaction is subject to certain conditions and regulatory approvals.
