Brazil regulator advises stopping Gaspetro sale

Brazil oil and gas regulatory agency ANP is recommending that competition watchdog Cade block state-run Petrobras from selling its share in natural gas distribution subsidiary Gaspetro to a single buyer.

Compass, the natural gas subsidiary of Brazilian energy and logistics conglomerate Cosan, agreed in July to acquire a 51pc stake in Gaspetro from state-controlled Petrobras for R2.03bn ($397mn), contingent on Cade's analysis.

ANP's technical body said the transaction contravenes the objectives of Brazil's new gas law and the commitments the antitrust agency made with Petrobras to increase competition in the natural gas market. The regulator recommends Petrobras start a new sales process in which stakes in Gaspetro's regional units are offered separately, allowing prospective buyers to bid on Gaspetro's stake in each of 19 companies.

Gaspetro's partners, which include state governments and Japanese energy group Mitsui, should also have longer to decide on purchasing stakes from Gaspetro, ANP recommended. ANP suggests a deadline of 30 June 2022 for those processes.

If Cade authorizes Compass' Gaspetro purchase, there are stiff competition remedies that could be applied, but ANP said they would likley be too "complex" to work. Cade should limit the size of the distribution companies and designate Compass as a "passive investor" at Gaspetro, making it unable to appoint board members, ANP said.

Brazil's local gas distribution companies purchased on average 49mn m³/d from January 2019-August 2021, according to ANP. Of that, 46.3pc was sold by companies in which Gaspetro is a shareholder.

If Compass successfully buys Gaspetro's shares, the new company would be responsible for purchasing up to 64pc of all gas in Brazil, ANP said.
