Braskem in talks to sell US assets to Unipar

Brazilian petrochemical producer Braskem confirmed today that it is in preliminary negotiations to potentially sell US assets to Brazilian PVC producer Unipar Carbocloro.

The companies so far have signed only a confidentiality agreement, Braskem said Friday in a statement. The companies have not defined which of Braskem's US assets or stakes might be part of any deal. Any transaction would require approval by Braskem's internal governance bodies, the company said.

Braskem on Thursday said it is negotiating the potential sale of three polypropylene plants in Texas, Pennsylvania and West Virginia for as much as $1bn to Unipar Carbocloro. Chief executive Roberto Ramos said on an earnings call that the plants have historically generated strong cash flow and that any sale would need to reflect their long-term value.

Braskem's US footprint includes six polypropylene plants, including four in Texas, one in Pennsylvania and one in West Virginia. These facilities account for nearly half of Braskem's 4mn metric tonnes/yr of global polypropylene production capacity. The US operations are a strategic pillar for the company, serving both domestic and export markets.

While the US assets are strategically important, the company said Thursday that it remains open to alternatives that support its broader strategy to improve performance and generate value, especially in light of global challenges in the petrochemical industry. The company is exploring operational and strategic alternatives to boost profitability and cash flow.

Braskem operates in Brazil, Mexico, Europe, and the US, with a diversified portfolio that includes petrochemicals and biopolymers. In the second quarter of 2025, Braskem reported revenue of $3.3bn and a loss of $45bn. Results were affected by lower international chemical prices and operational issues in Mexico and Europe.

Unipar Carbocloro in the quarter posted revenue of R$1.3bn ($240mn) and profit of R$232mn.
